1. Acceptance of Terms

By accessing or using Taskly (https://taskly.codxpert.com), creating a workspace, or registering as a team member/client, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, you must discontinue use of the platform immediately.

2. User Accounts & Role Permissions

Access to Taskly is structured around specific user roles:

• Workspace Owner: Full administrative control over workspaces, member invitations, financial vaults, and region rules.
• HR Manager: Management of employee attendance records, leaves, holidays, shifts, and salary costing.
• Team Leader / Member: Access to assigned projects, Kanban task boards, time trackers, and timesheet logging.
• Client: Restricted access to designated project progress boards, bug trackers, and shared milestone deliverables.

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

3. Workspace Data & Intellectual Property

You retain full ownership of all text, files, tasks, images, and project data uploaded to your workspace. CodXpert claims no ownership over your proprietary business assets.

The Taskly software, source code, UI designs, algorithms, and logos are the intellectual property of CodXpert and protected under international copyright laws.

4. Acceptable Use Policy

You agree not to:

• Attempt to bypass role permissions, security layers, or salary vault encryption.
• Use the platform to distribute malicious software, viruses, or illegal materials.
• Reverse-engineer, decompile, or copy the proprietary financial calculation engines without authorization.
• Engage in automated scraping or flooding of API endpoints.

5. WhatsApp Bot & Notification Policy

Our WhatsApp bot automation is designed for real-time internal operational alerts. By enabling WhatsApp notifications in your workspace, you agree that:

• Only opt-in team members and clients will be enrolled for notification routing.
• Outbound messaging is subject to a 60 requests per minute rate limit to prevent gateway congestion.
• CodXpert is not liable for carrier delivery delays or network downtime originating from WhatsApp/Meta.

6. Financials, Budgets & Regional Currencies

Taskly provides dynamic multi-currency project budgeting (e.g. CAD, INR, AED, USD, GBP) and partner profit-sharing attribution. Financial formulas and exchange rate conversions are generated based on user-configured rules. Organizations are advised to verify final year-end statutory compliance with certified accountants.

7. Service Availability & SLA

We strive to maintain 99.9% platform uptime. Occasional scheduled maintenance windows will be communicated in advance. We provide regular automated database backups to prevent data loss.

8. Limitation of Liability

To the maximum extent permitted by law, CodXpert shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use the platform, including data loss or business interruption.

9. Termination & Account Cancellation

Workspace owners may terminate their account at any time. Upon termination, you may request an export of your workspace project data, after which your account data will be scheduled for permanent deletion.
